HAVEL.DIGITAL GmbH - Guidelines for Web Development
At HAVEL.DIGITAL GmbH, our web designs involve complex coding and require the expertise of our in-house technical team. All websites developed by HAVEL.DIGITAL are maintained exclusively by our staff to ensure quality and consistency.
### 1. Service offer
#### 1.1 Promotional websites
Websites costing less than CHF 5,000 are classified as promotional websites and must adhere to the following guidelines:
- Publication and maintenance:
Every promotional website developed by HAVEL.DIGITAL must be published under the customer's Google Business account. Misrepresentations or inappropriate advertising may result in the website being deleted or transferred to a private account.
- Development process:
The website development process begins after HAVEL.DIGITAL receives all required texts, photos and ideas from the client within a period of 2 weeks. Any additional materials submitted after this period will not be considered unless additional fees are paid.
- Submission deadlines:
Text and photo updates must be submitted by 10:00 a.m. to be processed by 2:00 p.m. the next day. Materials submitted after this time will be processed the following business day.
- Promotional activities:
HAVEL.DIGITAL does not conduct photo shoots or video productions unless these are included in an advertising package. Clients are responsible for managing their own advertising activities.
- Business visits:
Each visit to the customer's company, if requested, will be charged at CHF 20 for travel costs plus the hourly rate for the service.
#### 1.2 Non-promotional websites
Websites costing over CHF 5,000 are subject to different rules depending on the hosting and maintenance package chosen, as described in the respective agreements.
### 2. General guidelines
#### 2.1 Hosting and Maintenance
- Hosting and maintenance packages are available with a term of 6 or 12 months. If hosting or maintenance fees are not paid on time, the website may be deleted or transferred to a private account.
#### 2.2 Changes
- Structural changes are not included in maintenance plans and are billed separately. Maintenance work typically includes:
- Add or update photos
- Changing texts
- Adjusting product prices
- Updating or adding offers or products
#### 2.3 Technical Support
- Technical support outside of our hosting and maintenance packages is charged at CHF 120 + VAT per hour. This includes troubleshooting, upgrades, software patches and bug fixes.
#### 2.4 Transfer of websites
- For promotional websites, the transfer of a website designed by HAVEL.DIGITAL to a private account costs a fee between CHF 9,500 and CHF 19,500 + VAT, depending on the complexity of the web design.
- For non-promotional websites, the transfer fee is CHF 3,000 + VAT.
### 3. Legal protection measures
#### 3.1 Place of jurisdiction and applicable law
- This agreement is governed by Swiss law. Any disputes shall be subject to the jurisdiction of the courts in Zurich, Switzerland.
#### 3.2 Disclaimer
- HAVEL.DIGITAL GmbH is not liable for indirect, incidental or consequential damages, including lost profits or loss of data.
#### 3.3 Force majeure
- 3.3.1 HAVEL.DIGITAL GmbH shall not be liable for any delay or failure in performance caused by events beyond its reasonable control. These events may include, but are not limited to:
- 3.3.1.1 Natural disasters (e.g. earthquakes, floods)
- 3.3.1.2 Force majeure (e.g. pandemics)
- 3.3.1.3 War, terrorism or civil unrest
- 3.3.1.4 Government measures or regulations
- 3.3.1.5 Internet outages or disruptions caused by external factors
- 3.3.2 In the event of force majeure, HAVEL.DIGITAL GmbH will notify the customer as soon as possible.
- 3.3.3 All obligations under this Agreement shall be suspended for the duration of the Force Majeure Event.
- 3.3.4 HAVEL.DIGITAL GmbH will use reasonable efforts to minimize the impact of the event on the services provided.
#### 3.4 Restrictions on use
- Customers undertake not to use the website for illegal activities or in a manner that could damage the reputation of HAVEL.DIGITAL GmbH.
#### 3.5 Dispute resolution
- In the event of a dispute, both parties undertake to first attempt to resolve the matter through mediation before taking legal action.
### 4. Customer Responsibilities
#### 4.1 Contents and deadlines
- Clients must provide accurate, lawful content and feedback within the specified timelines. Late submissions may result in delays or additional fees.
#### 4.2 Licensing and intellectual property
- 4.2.1 The Customer is responsible for ensuring that all third party content used on the Website, including but not limited to images, videos and software plugins, is properly licensed.
- 4.2.2 The customer undertakes to protect and defend HAVEL.DIGITAL GmbH against any claims arising from the use of unlicensed content.
- 4.2.3 All intellectual property rights, including but not limited to copyrights, patents, trademarks and trade secrets in the website design and code developed by HAVEL.DIGITAL GmbH shall remain the exclusive property of HAVEL.DIGITAL GmbH until all fees associated with the project, including any transfer fees, are paid in full.
- 4.2.4 Upon full payment of all fees, including the transfer fee for transferring the Website to a private account or other server, ownership rights to the Intellectual Property shall pass to the Customer.
- 4.2.5 Until the transfer of ownership, HAVEL.DIGITAL GmbH reserves the right to use the website design and associated materials for advertising purposes.
#### 4.3 Customer cooperation
- The Client agrees to provide timely feedback and materials as requested by HAVEL.DIGITAL GmbH to ensure compliance with project deadlines. Delays caused by the Client may result in adjusted schedules or additional fees.
### 5. Payment and termination
#### 5.1 Terms of payment
- All invoices issued by HAVEL.DIGITAL GmbH are payable within 7 days. Late payments will incur a monthly fee of 20% of the outstanding amount.
#### 5.2 Refund and Cancellation Policy
- Payments are non-refundable. If the Client cancels the project after work has commenced, the Client will be liable for payment of the work completed up to the date of cancellation, including any non-refundable deposits.
#### 5.3 Termination
- Either party may terminate this agreement with 30 days' notice. HAVEL.DIGITAL may terminate the agreement immediately in the event of serious breaches, such as non-payment. Termination does not waive the right to collect outstanding fees.
### 6. Data protection and security
#### 6.1 Data processing and security measures
- HAVEL.DIGITAL GmbH complies with the GDPR and uses industry standard security measures, including encryption and regular security audits, to protect customer data.
- In the event of a data breach, HAVEL.DIGITAL GmbH will notify the customer within 72 hours and take all necessary steps to mitigate the breach.
#### 6.2 Data retention
- After termination of the services, HAVEL.DIGITAL GmbH will delete or return all customer data upon request, unless there are statutory retention obligations for the duration of the legal retention period.
### 7. Customer Agreement and Policy Updates
- Customer Agreement:
By using the services of HAVEL.DIGITAL GmbH, the customer acknowledges and agrees to the conditions set out in this policy.
- Policy updates: HAVEL.DIGITAL GmbH reserves the right to update these policies regularly. Customers will be informed of any significant changes.
### 8. Definitions
- "Promotional Website": A website designed and offered for less than CHF 5,000.
- "Non-promotional website": A website designed and offered for more than CHF 5,000 and subject to different rules depending on the hosting and maintenance package chosen.
- "Structural Changes": Changes to the core functionality and structure of the website, such as database integrations and backend processes.
- "Intellectual Property": All copyrights, patents, trademarks and trade secrets in the website design and code developed by HAVEL.DIGITAL GmbH.
- "Force Majeure": Events beyond the reasonable control of HAVEL.DIGITAL GmbH that prevent or delay the fulfillment of obligations, such as natural disasters, war or internet outages.
